Terms & How Engagements Work

Parties
“TheBoolean” means the proprietor operating under the brand name TheBoolean, Mumbai, India. “Client” is named in the proposal, which identifies scope, fees and timeline and supersedes this page in conflict.
Scope
Written proposal defines inclusions and exclusions. Two structured revision rounds per deliverable; beyond-scope work quoted separately and starts only on written approval.
Timelines and client duties
Timelines assume prompt inputs. Client delays extend delivery day-for-day; feedback beyond 14 days may need re-scheduling.
Payment
A booking advance reserves time and is non-refundable; balance per milestones. Prices in INR; supplier not GST-registered so GST is not charged. TDS deductors issue Form 16A in statutory time. Late payments pause work and attract 1.5% monthly interest after a 7-day notice.
Intellectual property
On full receipt of fees, final deliverables are assigned to the client. Until full payment, no licence to use unpaid work. Unselected concepts remain ours. Third-party assets keep their licences. Client warrants rights to supplied materials.
Portfolio
Work may be displayed unless marked confidential in the proposal. Figures published only with verified written approval.
Confidentiality
Mutual, during engagement plus 2 years. Excludes public, known, independently developed or legally required matter.
Cancellation
14 days’ written notice either side. Client pays work done plus committed costs; advance not refunded; WIP handed over as-is.
No guarantees
We commit to scope, timeline and standards — never to revenue, rankings or conversions.
Liability
Aggregate liability capped at fees paid for that engagement; no indirect or consequential damages. Mutual. Nothing excludes liability that cannot be excluded by law.
Force majeure
Neither side liable for events beyond reasonable control; timelines extend.
Governing law and disputes
Laws of India. Good-faith negotiation for 14 days, then exclusive jurisdiction of courts at Mumbai, Maharashtra.
